Electric Drive Solutions ("we", "us", "our") operates this store and website and sells electric drive components, controllers, chargers, batteries and related parts (the "Services"). These Terms of Service, together with our <a href="/policies/refund-policy">Refund Policy</a>, <a href="/policies/shipping-policy">Shipping Policy</a>, <a href="/policies/privacy-policy">Privacy Policy</a> and <a href="/pages/limitation-of-liability-policy">Limitation of Liability Policy</a>, govern your use of the Services and form your agreement with us.

Please read them carefully — they include warranty disclaimers, limits on our liability, and important terms about how the products we sell may be used. By using the Services or placing an order you agree to be bound by them. If you do not agree, do not use the Services.

1. ELIGIBILITY AND ACCOUNT You must be at least the age of majority where you live to use the Services. You are responsible for the accuracy of the information you give us, for keeping your account credentials secure, and for all activity on your account. You may not transfer or sell your account.

2. PRODUCTS AND DESCRIPTIONS We describe and depict our products as accurately as we can, but appearance may differ on your screen and we do not warrant that a product's appearance or quality will meet your expectations. Specifications, descriptions and availability may change without notice, and we may discontinue any product or limit quantities offered to any person, region or jurisdiction.

3. ORDERS Placing an order is an offer to purchase. We may accept or decline any order at our discretion, and your order is not accepted until we confirm it and your payment has been processed. Please review your order before submitting it; we may be unable to cancel or change an order once accepted. If we decline, change or cancel an order, we will try to reach you using the email, address or phone number you provided.

4. PRICES, BILLING AND ERRORS Prices, discounts and promotions may change without notice. The price that applies is the one in effect when your order is placed, as shown in your order confirmation. Unless stated otherwise, posted prices exclude taxes, shipping, handling, customs and import charges. Promotion-specific terms govern over these Terms where they conflict.

You warrant that your payment information is accurate, that you are authorized to use the payment method, and that you will pay all charges at the posted prices plus shipping and applicable taxes. Please keep your payment and contact details current.

Our catalogue is large and occasionally contains typographical errors or omissions in descriptions, specifications, pricing, shipping charges, transit times or availability. We may correct these, and may change, update or cancel an order affected by inaccurate information at any time without prior notice, including after you have submitted it.

5. SHIPPING AND DELIVERY Delivery times are estimates and are not guaranteed. We are not liable for delays caused by carriers, weather, customs processing or other events outside our control. Title and risk of loss pass to you once we transfer the goods to the carrier. See our <a href="/policies/shipping-policy">Shipping Policy</a> for handling times, freight and international terms.

6. RETURNS Returns and exchanges are governed solely by our <a href="/policies/refund-policy">Refund Policy</a>. Lithium battery packs and their chargers are subject to the separate <a href="/pages/hi-power_return-policy">Hi-Power Lithium Batteries Usage and Warranty Return Policy</a>.

7. PRODUCT APPLICATION, INSTALLATION AND SAFETY The products we sell include high-voltage traction controllers, chargers, battery packs and related components intended for installation and commissioning by qualified persons. Improper selection, installation or configuration of these products can cause fire, electric shock, serious injury, death and property damage.

You are solely responsible for product selection, installation, wiring, programming, configuration, electrical compatibility, environmental suitability, and compliance with all applicable codes, regulations and safety standards. Except where expressly stated in a written warranty, products are sold as-is with respect to application and use.

We are not liable for damages arising from improper installation, wiring, programming or configuration; use outside published specifications or ratings; incompatible components or systems; modification, repair or alteration by anyone other than Electric Drive Solutions; negligence, misuse, abuse or unintended application; or failure to follow installation instructions and safety guidelines.

Any technical guidance, compatibility suggestion, wiring advice or configuration file we provide is offered in good faith as general assistance only. It does not constitute engineering certification and does not transfer responsibility for the installation to us. Our <a href="/pages/limitation-of-liability-policy">Limitation of Liability Policy</a> is incorporated into these Terms by reference and forms part of your agreement with us. Please read it before purchasing or installing any product.

8. DISCLAIMER OF WARRANTIES Information presented through the Services is provided for general information only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED IN WRITING BY ELECTRIC DRIVE SOLUTIONS, THE SERVICES AND ALL PRODUCTS SOLD THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS MAY NOT APPLY TO YOU IN FULL.

9. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, ELECTRIC DRIVE SOLUTIONS, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, SERVICE PROVIDERS AND LICENSORS, AND THOSE OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INJURY, LOSS OR CLAIM, OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF USE, DOWNTIME, TOWING, LABOR, INSTALLATION OR REMOVAL COSTS, OR REPLACEMENT COSTS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM THE PURCHASE, INSTALLATION, USE, MISUSE OR INABILITY TO USE ANY PRODUCT OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS EXCEED THE PURCHASE PRICE ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. YOUR SOLE AND EXCLUSIVE REMEDY IS, AT OUR DISCRETION, REPAIR, REPLACEMENT OR REFUND OF THAT PRODUCT.

10. INDEMNIFICATION You agree to indemnify, defend and hold harmless Electric Drive Solutions, Shopify, and our respective affiliates, owners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, arising out of your breach of these Terms, your violation of any law or third-party right, your access to or use of the Services, or your purchase, installation, use or misuse of any product, except to the extent caused by our sole negligence or willful misconduct. We will notify you of any such claim, and may control its defense and settlement at your expense; we will not settle a claim imposing non-monetary obligations on you without your consent, which you will not unreasonably withhold.

11. INTELLECTUAL PROPERTY All content on the Services — text, images, graphics, video, audio, trademarks, and their selection and arrangement — is owned by Electric Drive Solutions, its affiliates or licensors and protected by intellectual property laws. You may view and use the Services for your own personal or internal business purposes; you may not reproduce, modify, republish, scrape or redistribute any material from them without our prior written consent. Our names and logos are our trademarks, Shopify's are Shopify's, and all others belong to their owners. All rights not expressly granted are reserved.

12. ACCEPTABLE USE You may use the Services only for lawful purposes. You may not break any law; infringe anyone's intellectual property; harass, abuse or defame any person including our staff; transmit false information; send spam; impersonate anyone; upload malicious code; collect others' personal information; scrape the Services; resell any part of them; or interfere with or circumvent their security. We may suspend or terminate your account without notice if we determine you have violated these Terms.

13. FEEDBACK AND REVIEWS If you send us ideas, suggestions, reviews or other content, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish and display it for any purpose, including commercially. You warrant that you hold the rights to it, that you have disclosed any compensation received in connection with it, and that it is not unlawful, abusive or infringing. We need not keep it confidential, pay for it or respond to it, and we may edit or remove it. You are solely responsible for what you submit.

14. THIRD-PARTY TOOLS AND LINKS The Services may include third-party tools, embedded functionality and links to sites we neither control nor monitor. These are provided "as is", without warranty or endorsement, and your use of them is at your own risk and subject to that third party's terms. We are not responsible for their content, accuracy, products or practices, and claims about them should be directed to the third party.

15. RELATIONSHIP WITH SHOPIFY Electric Drive Solutions is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Electric Drive Solutions. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Electric Drive Solutions, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Electric Drive Solutions.

16. PRIVACY Personal information we collect is handled as described in our <a href="/policies/privacy-policy">Privacy Policy</a>. Because the Services are hosted by Shopify, information you submit is transmitted to and shared with Shopify and its service providers, which may be located outside your country. Certain information is also subject to <a href="https://www.shopify.com/legal/privacy/app-users">Shopify's Privacy Policy</a>.

17. TERMINATION We may terminate this agreement or your access to the Services at our discretion at any time without notice. You remain liable for all amounts due up to the date of termination. The sections covering intellectual property, feedback, disclaimer of warranties, limitation of liability, indemnification, governing law, and any other provision that by its nature should survive, continue to apply after termination.

18. GOVERNING LAW AND VENUE These Terms and any agreement under which we provide the Services are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You and Electric Drive Solutions consent to the exclusive jurisdiction and venue of the state and federal courts located in Dauphin County, Pennsylvania.

GENERAL If any provision of these Terms is held unlawful or unenforceable, it will be enforced to the fullest extent permitted and severed to the extent it is not, without affecting the remaining provisions. Our failure to enforce any right is not a waiver of it. These Terms, together with the policies referenced in them, are the entire agreement between you and us and supersede any prior agreements or versions. You may not assign these Terms without our written consent; we may assign them without notice. Headings are for convenience only. Ambiguities will not be construed against the drafting party.

We may update these Terms at any time by posting a revised version. Material changes will be notified as required by law and take effect on the date specified. Continued use of the Services after changes are posted constitutes acceptance of them.
